Terms of Service

These Terms of Service ("Terms") are an agreement between Gridd ("we", "us") and the merchant ("you") who installs or uses the Gridd warehouse management application or this website. By installing Gridd, signing in, or otherwise using the service, you agree to these Terms and to our Privacy Policy.

1. The service

Gridd is warehouse management software for online retailers: it syncs orders and products, organizes inventory into bins, generates pick lists, supports receiving and cycle counts, prints labels and packing slips, and can push stock levels back to your store. Using Gridd requires an active store on a supported e-commerce platform; your use of that platform itself is governed by its own terms.

2. Accounts

An administrator account is created for the store contact when you install Gridd, and administrators can invite additional staff. You are responsible for the people you invite, for keeping credentials confidential, and for all activity under your organization's accounts. Tell us promptly at hello@griddwms.com if you suspect unauthorized access.

Your store's data — orders, products, inventory records, and settings — remains yours. You grant us the limited rights needed to host and process it to provide the service, as described in the Privacy Policy. You are responsible for having a lawful basis for the customer data your store sends to Gridd, and for the accuracy of the inventory information your team enters. When you uninstall, your data is deleted on the schedule described in the Privacy Policy.

We work to keep Gridd fast and available, but the service is provided without an uptime guarantee and depends on third parties (including your store platform and our infrastructure providers). We may improve or change features over time; if we ever discontinue the service, we will give you at least 30 days' notice and a way to export your data.

7. Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Gridd tracks the inventory information your team records — it does not guarantee that physical stock matches recorded stock, and you remain responsible for your own warehouse operations, order fulfillment, and customer commitments.

8. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service is limited to the subscription fees you paid us in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

9. Termination

You may stop using Gridd at any time by uninstalling it from your store. We may suspend or terminate access if you materially breach these Terms, if required by law, or if your store platform revokes the app's access — where practical, we will notify you and give you a chance to remedy the issue first. Sections 4, 7, 8, and 10 survive termination.

10. General

These Terms are the entire agreement between us regarding the service and supersede any prior discussions. If any provision is found unenforceable, the rest remain in effect. We may update these Terms; for material changes we will give notice by email or in-app notice before they take effect, and continued use after that constitutes acceptance.
